MUSIVO GALLERIA SELLER AGREEMENT

This Seller Agreement ("Agreement") is entered into between Musivo LLC, a company registered at the Qatar Financial Centre, Doha, Qatar ("Musivo," "we," "us") and you, the individual or entity registering as a Seller on the Musivo Galleria marketplace platform ("Seller," "you").
This Agreement governs your use of the Platform as a Seller in addition to the Musivo Galleria Terms of Service, which are incorporated herein by reference. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall prevail with respect to your activities as a Seller.
By completing the Seller registration process, clicking "I Agree," or otherwise indicating acceptance, you agree to be legally bound by this Agreement.
PART A: SELLER REGISTRATION AND ACCOUNT
A1. Eligibility
A1.1 To register as a Seller, you must: (a) Be at least eighteen (18) years of age; (b) Be a natural person, registered business, or duly constituted legal entity with full authority to enter this Agreement; (c) Provide accurate, complete, and current registration information; (d) Have a valid email address and a Whop Connected Payout Account set up through the Platform's Payments Hub for payouts; (e) Not be prohibited from selling on the Platform under any applicable law, regulation, or prior agreement with Musivo.
A1.2 Musivo reserves the right to refuse or revoke Seller registration at any time and for any reason at its sole discretion.
A2. Seller Account
A2.1 You are responsible for all activity that occurs under your Seller account, including any content posted, products listed, and transactions completed.
A2.2 You must maintain accurate account information at all times. Material changes to your business name, legal entity, payment details, or contact information must be updated promptly.
A2.3 Your Seller handle (musivogalleria.com/[handle]) is assigned at registration. Musivo reserves the right to reclaim handles that violate these terms or impersonate other parties.
A3. Social Account Verification
A3.1 If you register as a Creator or Agency, you may connect and verify social accounts (including Instagram, TikTok, YouTube, LinkedIn, Twitch, and others supported on the Platform) to prove you control the identity you represent.
A3.2 Before publishing hire-me or brand-service listings, you must complete Tier-1 verification on at least one of: Instagram, TikTok, or YouTube, unless Musivo grants a written exception.
A3.3 A "Verified" badge on your storefront indicates that Musivo has confirmed ownership of the linked account through OAuth or manual review. Verification does not constitute an endorsement of your content, audience size, or ability to deliver services.
A3.4 You must not impersonate any person, brand, or creator. Accounts found to misrepresent identity may be suspended without refund of pending payouts, and Musivo may report fraud to payment providers and authorities where appropriate.
A3.5 Musivo may revoke verification or remove badges if we detect account transfers, handle changes that break the verification link, or credible reports of impersonation.
PART B: LISTING PRODUCTS AND SERVICES
B1. Listing Standards
B1.1 All listings must: (a) Accurately describe the Product or Service offered; (b) Include clear, high-quality images where applicable; (c) State the price clearly and in the correct currency; (d) Not be misleading, deceptive, or fraudulent in any respect; (e) Comply with all applicable laws in your jurisdiction and the jurisdiction of likely buyers.
B1.2 Musivo reserves the right to remove any listing or disable any storefront that, in its sole discretion, violates these standards, the Terms of Service, or applicable law, with or without notice and without liability.
B2. Prohibited Products and Services
You shall not list, offer, or sell through the Platform any of the following:
B2.1 Illegal items or services under any applicable law; B2.2 Counterfeit, pirated, or unauthorised copies of any product; B2.3 Items that infringe any intellectual property, privacy, or other rights of any third party; B2.4 Weapons, ammunition, explosives, hazardous or controlled substances; B2.5 Adult, obscene, pornographic, or sexually explicit content — including nudity intended to arouse, escort services, or explicit sexual services; B2.6 Child sexual abuse material (CSAM) or any content sexualizing minors; B2.7 Items subject to export restrictions under applicable law; B2.8 Fraudulent services, fake reviews, or misleading representations; B2.9 Resale, vintage, thrift, consignment, or peer-to-peer secondhand inventory, or listings by individual resellers who are not operating a professional brand or retail store; B2.10 Shipped consumer brand products without a verified Shopify store (store URL + domain email code); B2.11 Drugs, controlled substances, or prescription medicines sold without authorization; B2.12 Any item or service Musivo determines, in its sole discretion, to be inconsistent with the Platform's standards, community guidelines, or Trust & Safety policy.
B3. Digital Products
B3.1 Digital Products must be delivered in the format and to the standard described in your listing.
B3.2 You must complete Payments Hub setup to sell on the Platform. When you open Payments Hub, Musivo may create or link a Whop Connected Payout Account for that storefront under Musivo's Whop platform parent company. Musivo does not ask you to manually create a separate Whop business on whop.com first.
B3.3 For each Musivo Galleria storefront, Musivo automatically creates or links a Whop Connected Payout Account (a connected account under Musivo's Whop platform parent company) tied to that storefront. The Whop Connected Payout Account may appear in Whop-managed account views associated with your access. One storefront = one Whop Connected Payout Account. If you operate multiple storefronts, you must complete Payments Hub setup separately for each active storefront.
B3.4 You authorise Musivo to create, configure, modify, and manage Whop checkout plans and related payment settings on your Whop Connected Payout Account via API, solely to operate your Musivo Galleria listings and collect the Platform Fee.
B3.5 Payout setup is your responsibility — Musivo cannot do this for you. After opening Payments Hub, you must complete Whop's payout onboarding for the Whop Connected Payout Account (bank account, identity verification, and tax information as required by Whop). Musivo does not complete this on your behalf. Musivo cannot pay you until you finish Whop onboarding and Whop approves your account. You manage balances, payout schedules, and bank details through Whop-powered payout flows for that Whop Connected Payout Account — not as a Musivo-managed bank account and not through your Whop User Account profile alone.
B3.6 Where money goes. Buyer payments are processed by Whop. Musivo's 10% Platform Fee is deducted automatically at checkout. The remainder (typically approximately 90% of the gross sale before Whop processing fees) is credited to your Whop Connected Payout Account balance — not to Musivo and not to your Whop User Account credential. Withdrawals go from that Whop Connected Payout Account to the bank account you configure through Whop-powered payout flows. Musivo does not receive your sale revenue into Musivo bank accounts.
B3.7 Who can see the Whop Connected Payout Account. The Whop Connected Payout Account appears in two places, for different purposes: (a) In Whop-managed account views available to you — this is where you manage payout setup and withdrawals; (b) In Musivo's Whop platform parent account — as a connected account linked to Musivo's marketplace, so Musivo can operate checkout integration and collect the Platform Fee.
Musivo may view connected-account and transaction information necessary to run the Platform and report Platform Fees. Musivo does not own your sale revenue, does not set your payout bank details, and does not withdraw your Whop Connected Payout Account balance to Musivo. Other sellers cannot access your Whop Connected Payout Account.
B3.8 You acknowledge that Whop acts as Merchant of Record for applicable transactions and that Whop's own terms of service govern payment processing, payout eligibility, refunds at the processor level, and tax handling for such sales.
B3.9 You must ensure that Digital Products do not contain malware, viruses, or any harmful code.
B3.10 You agree to promptly notify Musivo if your Whop User Account is compromised, if you lose access to a Whop Connected Payout Account, or if Whop suspends payout capability on any connected account used for the Platform.
B3.11 No reliance on Musivo for payments. You acknowledge that Musivo is not a payment provider, does not hold funds, and is not responsible for Whop outages, payout delays, frozen balances, chargebacks, or any payment-processor decision. You must monitor your Whop account and resolve payment issues directly with Whop.
B3.12 Your legal responsibility despite platform link. Your Whop Connected Payout Account is linked under Musivo's Whop platform parent for technical checkout and Platform Fee collection only. This structure does not make Musivo the seller of your Products or Services, does not transfer your legal, tax, refund, or consumer obligations to Musivo, and does not make Musivo liable for how you operate your Whop Connected Payout Account. You remain an independent Seller solely responsible for your listings, fulfilment, refunds, chargebacks, and compliance with applicable law.
B4. Physical, Portfolio, and External Sales
B4.1 Digital-first. Most sales on the Platform are digital and processed through Whop checkout on musivogalleria.com.
B4.2 Portfolio / showcase listings. Apps & brands and agencies may publish free showcase listings with images, descriptions, and optional external buy links. Those purchases occur off-platform and are not processed by Musivo.
B4.3 Permitted physical listings. Creators with an artist focus and Gallery & art space brands may list one-off shipped work with manual fulfillment. Consumer retail brands must verify an operating Shopify store (store URL plus verification code to an email on that domain) plus a complete shipping policy before listing shipped products. Checkout uses Whop; fulfillment is manual by the Seller. Musivo does not sync inventory with external shops.
B4.4 Shopify verification. Consumer brands enter their Shopify store URL and an email on the same domain. Musivo confirms the URL is Shopify, sends a one-time code to that email, and marks the store verified when the code is confirmed. Musivo does not import catalogs or process checkout on external shops.
B4.5 You are solely responsible for maintaining accurate listings, fulfilling permitted physical orders promptly, managing SKU inventory across channels, and handling returns in accordance with your stated policy.
B5. Services and Brand Bookings
B5.1 If you offer services or Brand Booking packages, you represent and warrant that you have the skills, experience, and capacity to deliver such services as described.
B5.2 You are solely responsible for delivering Brand Booking services in accordance with any brief or specification communicated by the Buyer.
B5.3 You acknowledge that Musivo does not guarantee payment for services not delivered and that Buyers may submit internal ratings following Brand Bookings that may affect your visibility on the Platform.
B5.4 You agree that the internal Brand Booking rating system exists for platform quality purposes and that ratings submitted by Buyers reflect their experience. You may not take legal action against Musivo for ratings submitted by Buyers in good faith.
B5.5 Influencer & sponsored content disclosure. If you create, deliver, or promote sponsored content, paid partnerships, UGC for brands, or other advertising deliverables connected to Galleria listings or campaigns, you must comply with applicable advertising and consumer protection rules — including FTC endorsement guidelines (US), ASA/CAP (UK), and EU consumer/advertising disclosure requirements. Use clear, conspicuous disclosure (for example #ad, Paid partnership, Sponsored) on every platform where content appears. Musivo may require disclosure in listing or campaign terms and may remove listings or suspend accounts for deceptive marketing. Musivo does not replace your legal duty to disclose; you remain solely responsible.
B6. Events and Ticketing
B6.1 If you list Events or sell Event Tickets, you are the Event Organizer, not Musivo. You are solely responsible for accurate Event information, lawful operation, venue permissions, capacity, safety, attendee communication, refunds or cancellations under your published policy, and admission decisions.
B6.2 Event Tickets issued through the Platform (confirmation codes, in-app passes, PDF downloads, and email confirmations) are issued on your behalf as Event Organizer. Musivo provides registration and payment infrastructure only.
B6.3 You must not list Events you cannot lawfully host or that violate applicable public assembly, licensing, age-restriction, or safety laws.
B6.4 Musivo is not liable for Event cancellations, postponements, injury, property damage, or failure to admit attendees. You agree to indemnify Musivo for claims arising from Events you organize.
B7. Communities
B7.1 If you operate a Community, you are solely responsible for Community rules, moderation, member conduct, and lawful operation.
B7.2 You must not use Communities to distribute illegal content, harass members, or circumvent Platform Fees through off-platform sales to members you acquired through Galleria.
B7.3 Musivo may remove Communities or suspend access for policy violations but does not guarantee continuous availability or moderation of every post.
B8. Brand Campaigns
B8.1 If you publish brand briefs or accept Campaign Hire payments, you are solely responsible for brief accuracy, creator selection, deliverable terms, usage rights, and campaign fulfilment.
B8.2 Musivo provides brief publishing, applications, payment facilitation, and workspace tools only. Musivo is not the buyer of creative work, not the employer of creators, and not responsible for deliverable quality or licensing disputes between brands and creators.
B8.3 Campaign payments are between the brand Buyer and creator Seller. Musivo's Platform Fee is non-refundable regardless of campaign outcome.
PART C: PLATFORM FEE AND FINANCIAL TERMS
C1. Platform Fee
C1.1 Musivo charges a platform fee of ten percent (10%) of the product subtotal of every sale completed through Whop checkout on the Platform ("Platform Fee"), excluding applicable payment processing fees charged by Whop and excluding any shipping or delivery charges collected separately from the product price.
C1.2 The Platform Fee is: (a) Automatically deducted at the point of payment via Whop's application_fee_amount mechanism; (b) Non-negotiable and cannot be modified or waived; (c) Non-refundable under any circumstances whatsoever, including buyer disputes, chargebacks, non-delivery of products or services, cancellations, or any other reason; (d) Applicable to every transaction regardless of product type, price, or any other factor.
C1.3 By completing Seller registration and accepting this Agreement, you irrevocably consent to the deduction of the Platform Fee from every transaction.
C2. Payment Processing Fees
C2.1 In addition to the Platform Fee, Whop charges payment processing fees on each transaction. These fees are separate from the Platform Fee and are your responsibility as a Seller.
C3. Payouts
C3.1 Following deduction of the Platform Fee and payment processing fees, the remaining amount is credited to your Whop Connected Payout Account in accordance with Whop's payout schedule.
C3.2 Credential vs payout account. Your Whop User Account, if used, is only an access credential. Sale revenue is not paid to that credential; it is paid to the Whop Connected Payout Account for each storefront. You must complete payout setup on that account through Whop-powered payout flows, then withdraw to your bank.
C3.2a Partnership and agency splits. Where a sale is attributed to a brand partnership or agency relationship, Galleria records the agreed commission and facilitates transfer from the selling storefront's Whop balance to the partner's Whop Connected Payout Account when both sides have completed Payments Hub setup.
C3.3 Musivo does not hold, control, or have access to withdraw your sale balances. Musivo collects only the Platform Fee at checkout. Musivo is not responsible for payout delays caused by incomplete Whop onboarding, Whop, your bank, or any other third party.
C3.4 You are responsible for providing and maintaining accurate payout account details in Whop. Musivo is not liable for failed or delayed payouts resulting from incomplete onboarding, inaccurate information, or suspension by Whop.
C3.5 You figure out your payment account. Musivo does not provide payment support beyond Platform integration. Questions about Whop balance, payout timing, tax forms, account holds, or bank transfers must be handled by you with Whop. Musivo cannot release funds, override Whop decisions, or guarantee payment.
C4. Taxes
C4.1 You are solely responsible for determining, reporting, and paying all taxes applicable to your sales on the Platform, including income tax, VAT, GST, sales tax, digital services tax, and any other applicable taxes in any jurisdiction.
C4.2 Musivo does not provide tax advice and makes no representations regarding your tax obligations.
C4.3 For Digital Products processed through Whop where Whop acts as Merchant of Record, Whop manages sales tax collection and remittance in supported jurisdictions. You should verify with Whop and your own tax advisor what tax obligations remain with you.
C4.4 You agree to indemnify and hold Musivo harmless from any tax liability, penalties, or assessments arising from your sales on the Platform.
C4.5 Sellers are solely responsible for determining and fulfilling all tax obligations arising from their use of the Platform, including any VAT, GST, or sales tax applicable to platform service fees under applicable reverse charge or self-assessment rules in their jurisdiction.
PART D: SELLER CONDUCT AND OBLIGATIONS
D1. Professional Standards
D1.1 You agree to conduct yourself professionally at all times in your interactions with Buyers and other Platform users.
D1.2 You agree to respond to Buyer enquiries within a reasonable timeframe, typically within two (2) business days.
D1.3 You agree to fulfil all orders promptly and to the standard described in your listings.
D2. Off-Platform Transactions
D2.1 You are strictly prohibited from soliciting or facilitating transactions with Buyers outside the Platform in order to circumvent the Platform Fee. This includes providing contact details, alternative payment links, or any other means designed to redirect a transaction away from the Platform.
D2.2 Violation of this clause may result in immediate account termination and Musivo may seek to recover the Platform Fees that would have been earned on circumvented transactions.
D3. Accuracy and Updates
D3.1 You agree to promptly update your listings if any information becomes inaccurate, including price changes, product availability, service changes, and delivery timelines.
D3.2 You agree to promptly notify Musivo if your Whop Connected Payout Account or optional Shopify verification is suspended, terminated, or otherwise unable to process transactions.
D4. Customer Support
D4.1 You are solely responsible for all customer support for your Products and Services. This includes answering Buyer questions before purchase, confirming shipping and delivery, providing Digital Product access, handling refunds and returns under your published policy, and resolving Brand Booking issues.
D4.2 Musivo does not provide customer support on your behalf. Buyers must contact you, not Musivo, for order-related matters. Brand Sellers must maintain a public contact email on their storefront (Settings → Brand contact & Shopify) so Buyers can reach you directly. That email is displayed publicly for your buyer support — Musivo does not monitor or respond to it.
D4.3 You agree to respond to Buyer enquiries (email and Galleria Messages) within a reasonable timeframe, typically within two (2) business days.
D4.4 Musivo may, at its sole discretion, forward Buyer reports to you or take platform action against Sellers who repeatedly ignore Buyer contact, but Musivo has no obligation to mediate, resolve, or provide customer support for any transaction.
D5. Refunds, Returns, and Buyer Policies
D5.1 You must select and publish a returns and refunds option for your storefront in Galleria (Settings → Returns & refunds) before accepting sales. Choose the preset that matches how you operate (e.g. all sales final, 7-day, 14-day, or 30-day window). You may add optional notes for buyers. You are solely responsible for honouring your selected policy and for handling all refund requests from Buyers. Musivo does not issue refunds on your behalf and is not liable for your failure to refund, over-refund, or misstate your policy.
D5.2 You are solely responsible for honouring your published refund and returns policy and for handling all refund requests from Buyers. Musivo does not issue refunds on your behalf and is not liable for your failure to refund, over-refund, or misstate your policy.
D5.3 Buyers may report Sellers who fail to honour published policies. Musivo may investigate and take platform action but does not guarantee any refund outcome.
D5.4 Chargebacks and processor-initiated refunds are handled under Whop's procedures. You are responsible for responding to chargebacks. Musivo's Platform Fee remains non-refundable.
D6. Shipping (physical products)
D6.1 If you sell Physical Products, you must configure shipping settings in Galleria (Settings → Shipping), including regions you ship to and how shipping cost works (free, included in price, flat rate, or contact for quote).
D6.2 Buyers see your shipping information before checkout. You are responsible for accurate shipping disclosures and for fulfilling orders to destinations you accept.
D6.3 Checkout on Galleria charges the product price on Whop. Musivo's Platform Fee is calculated on the product price only, not on shipping you charge separately. If shipping is included in your listed product price, the Platform Fee applies to that combined price because it is part of the checkout amount.
D7. Compliance
D7.1 You are solely responsible for ensuring your sales comply with all applicable laws, including consumer protection laws, product safety regulations, intellectual property laws, and any sector-specific regulations applicable to your products or services.
D7.2 You represent and warrant that you hold all necessary licences, permits, and authorisations required to sell your Products and Services in your jurisdiction and any jurisdiction to which you sell.
PART E: INTELLECTUAL PROPERTY
E1. Your Intellectual Property
E1.1 You retain all ownership rights in your products, listings, and content. By listing on the Platform, you grant Musivo a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute your listing content for the purpose of operating and promoting the Platform.
E1.2 You represent and warrant that you own or have all necessary rights to all content you upload and that such content does not infringe any third party's intellectual property rights.
E2. Musivo's Intellectual Property
E2.1 Nothing in this Agreement grants you any rights in Musivo's intellectual property, trademarks, brand, or Platform technology.
E3. Infringement
E3.1 If a third party claims that any of your listings infringe their intellectual property rights, Musivo may remove the listing without notice. You agree to indemnify Musivo against all claims, costs, and damages arising from any alleged infringement.
PART F: ACCOUNT SUSPENSION AND TERMINATION
F1. By Musivo
F1.1 Musivo may suspend or terminate your Seller account at any time, with or without notice, for: (a) Violation of this Agreement or the Terms of Service; (b) Fraudulent, deceptive, or illegal activity; (c) Excessive chargebacks or disputes; (d) Repeated failure to fulfil orders or deliver services; (e) Conduct harmful to the Platform, other users, or Musivo; (f) Any reason at Musivo's sole discretion.
F1.2 Musivo's Platform Fee on transactions completed before termination is non-refundable.
F2. By Seller
F2.1 You may close your Seller account at any time by contacting support@musivogalleria.com
F2.2 You remain responsible for fulfilling all pending orders and outstanding obligations at the time of closure.
PART G: LIMITATION OF LIABILITY AND INDEMNIFICATION
G1. Limitation of Liability
G1.1 Musivo's liability to you as a Seller is limited in accordance with Clause 13 of the Terms of Service, which is incorporated by reference.
G1.2 Musivo is not liable for: loss of revenue or profit from your Seller account; failure of Whop to process or pay out transactions; your failure to complete Whop payout onboarding; suspension or unavailability of Whop or Shopify services; actions or omissions of Buyers; refund disputes between you and Buyers; chargebacks; Event cancellations or attendee claims; Community content or moderation disputes; Campaign Hire deliverable disputes; or any indirect or consequential losses.
G2. Indemnification
G2.1 You agree to defend, indemnify, and hold harmless Musivo LLC, its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, costs, and expenses (including legal fees) arising from: (a) Your listings, Products, or Services; (b) Your breach of this Agreement or the Terms of Service; (c) Any dispute between you and a Buyer or Community member; (d) Your violation of any applicable law or third-party rights; (e) Any tax liability arising from your sales; (f) Any infringement of third-party intellectual property; (g) Any Event you organize or Event Ticket you sell; (h) Any Community you operate; (i) Any brand brief or Campaign Hire you publish or accept.
PART H: GENERAL
H1. Governing Law: This Agreement is governed by the laws of Qatar and, where applicable, the Qatar Financial Centre.
H2. Entire Agreement: This Agreement and the Terms of Service constitute the entire agreement between Musivo and Seller regarding Seller's use of the Platform.
H3. Amendments: Musivo may amend this Agreement at any time. Continued use of the Platform as a Seller following notice of amendment constitutes acceptance.
H4. Severability: If any provision is unenforceable, the remaining provisions continue in effect.
H5. No Waiver: Musivo's failure to enforce any provision does not waive that provision.
H6. Assignment: You may not assign this Agreement. Musivo may assign it without restriction.
